These Terms and Conditions ("Terms") govern your use of the Freezemate mobile application ("App") provided by ZDS Software Labs ("we", "us", or "our"). By downloading or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.
1. Eligibility
You must be at least 13 years old to use Freezemate. By using the App, you represent that you meet this age requirement. If you are under 18, you confirm that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
2. Account Registration
You may register using your email address or a supported third-party provider (Google, Apple). You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately if you suspect unauthorised access to your account.
You must provide accurate, current, and complete information when creating your account. We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.
3. Licence to Use the App
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to download and use the App on your personal Android device for your own personal, non-commercial purposes.
You may not:
- Copy, modify, or distribute the App or its content.
- Reverse-engineer, decompile, or disassemble the App.
- Use the App for any unlawful purpose or in violation of any applicable regulation.
- Attempt to gain unauthorised access to any part of the App or its infrastructure.
- Scrape, crawl, or extract data from the App in bulk by automated means.
4. User-Generated Content
You may upload or post content including meal photos, descriptions, recipe templates, and community posts ("User Content"). You retain ownership of your User Content, but by posting it you grant us a worldwide, royalty-free licence to store, display, and distribute it within the App solely for the purpose of operating the service.
You are solely responsible for your User Content. You agree not to post content that:
- Is unlawful, harmful, threatening, abusive, defamatory, or obscene.
- Infringes any third-party intellectual property or privacy rights.
- Contains viruses, malware, or any harmful code.
- Is spam, unsolicited advertising, or misleading information.
- Impersonates any person or entity.
We reserve the right to remove any User Content that violates these Terms without notice.
5. Household Sharing
The App allows you to create or join a shared household to collaborate on freezer inventory and meal planning. By joining a household, you acknowledge that other members will be able to view and modify shared data including meals, templates, and shopping lists. You are responsible for the individuals you invite into your household.
6. Premium Subscription
Freezemate offers a Premium subscription that unlocks additional features. Subscriptions are billed through Google Play on a recurring basis. By subscribing, you authorise the recurring charge to your Google Play payment method.
- Billing: Subscription fees are charged at the beginning of each billing period.
- Cancellation: You may cancel at any time through Google Play settings. Cancellation takes effect at the end of the current billing period; no partial refunds are provided.
- Price changes: We may change subscription prices with reasonable notice. Continued use after the effective date of a price change constitutes acceptance.
- Refunds: Refund requests are handled by Google Play in accordance with their refund policy.
- Free plan: Free-tier users have access to core features subject to usage limits (e.g., maximum saved recipe templates). Limits are displayed within the App and may change over time.
7. Advertising
Free-tier users may be shown banner advertisements delivered by Google AdMob. Premium subscribers are ad-free. We are not responsible for the content of third-party advertisements.
8. Intellectual Property
All intellectual property in the App — including but not limited to the Freezemate name, logo, design, code, and non-user-generated content — is owned by ZDS Software Labs or licensed to us. Nothing in these Terms grants you any rights in our intellectual property except the limited licence described in Section 3.
9. Third-Party Services
The App integrates with third-party services (Google Firebase, Google Play, Google AdMob). Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.
10. Disclaimers
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.
Freezemate displays consume-by date reminders as a convenience. These reminders are not a substitute for proper food-safety judgement. You are solely responsible for determining whether food is safe to consume. We disclaim all liability for any illness, injury, or harm resulting from food you track, store, or consume.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZDS SOFTWARE LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR USD 10, WHICHEVER IS GREATER.
12. Indemnification
You agree to defend, indemnify, and hold harmless ZDS Software Labs and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from your use of the App, your User Content, or your violation of these Terms.
13. Termination
We may suspend or terminate your access to the App at any time, with or without notice, if we believe you have violated these Terms. You may stop using the App and delete your account at any time. Upon termination, the licence granted to you ends immediately.
14. Governing Law
These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Philippines.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via the App or by updating the "Last updated" date above. Continued use of the App after changes take effect constitutes acceptance of the new Terms.
